GOLDEN GOOSE

The Carlyle Group has acquired 100% of Golden Goose Deluxe Brand from a pool of investors led by Ergon Capital Partners.

Established in 2000 and headquartered in Venice, Italy, Golden Goose Deluxe Brand is a fast-growing high-end lifestyle fashion company, with a strong position in the luxury sneaker market globally. Thanks to its distinctive product design and appeal, in the last few years the Company has delivered a consistent track record of continuous high growth, generating more than €100 million revenues in 2016, with international markets accounting for almost 60% of such revenues.

Dedalus

Ardian has acquired approximately 60% of Dedalus Holding, owner of Dedalus, the highly regarded global clinical health software provider. The founder Giorgio Moretti has retained a 40% stake and will continue to lead the Company.

Over the years, thanks to a targeted acquisition strategy, which has resulted in 40 companies being acquired, and important investments in Research & Development, Dedalus has become an international company and an established leader in its field. Following the merger with NoemaLife, of which Dedalus recently acquired more than 83%, the company will become the leading player in clinical health software in Italy and one of the biggest in Europe, with a global reach across 25 countries. The Group expects to close 2016 with a turnover of approximately €170 million

FIDAT

The shareholders of Fidat have sold their interest in the Company.

Established in Turin in 1948, Fidat manufactures and distributes wires, fluxes and rods for welding, brazing and soldering.

Cigierre

BC Partners has acquired Cigierre – Compagnia Generale Ristorazione SpA – Italy’s leading restaurant chain, from the founder and CEO Marco Di Giusto, as well as from L Capital and Paladin Capital Partners.

Founded in 1995 in Udine, Italy, Cigierre operates more than 180 casual dining restaurants across Italy, both directly operated and in franchising. The Company offers food from a variety of international cuisines at affordable prices through different formats, including Old Wild West, Wiener Haus, Arabian Kebab, Kukkuma and Shi’S. The flagship format, Old Wild West, is a steakhouse concept renowned for its rich offer of hamburgers and Argentinian and Irish grilled meats. Cigierre has grown at an impressive pace over the past four years, opening 70 new restaurants and delivering revenue and EBITDA growth of c. 40% per year, with best-in-class unit economics. The Company is committed to a strong expansion strategy that envisages 25 new openings per year.

VOLTA RENEWABLES

Tei Energy and Ala 97 sold Volta Renewables to Sonnedix Group.

Volta Renewables is the owner of two solar plants based in Tarquinia (Viterbo) and Minervino (Bari) with a total capacity of 3MWp.

ARES

Flos, the international Italian lighting brand, has acquired Ares, one of the leading Italian companies in the outdoor architectural lighting sector. This follows on from Italian private equity firm Investindustrial buying a majority stake in Flos in September 2014.

Established in 1994 in Bernareggio (Monza and Brianza) by Ambrogio Strano, Ares has been committed to reflecting the evolution of the outdoor lighting sector, offering lighting products manufactured with materials including aluminium, stainless steel and glass. It recognised early on the potential of LED light sources, with a view to offering fixtures featuring high efficiency, reduced energy consumption and a focus on environmental protection.

Barovier&Toso

Oikia 3, a company owned by Rinaldo Invernizzi, has completed the acquisition of a 95% stake in Barovier&Toso from Officina dell’Arte (investment vehicle held by AVM Private Equity and DVRCAPITAL) and Vetrai28 (controlled by the Barovier family). After almost five years since its initial investment, Officina dell’Arte hands over 80% of the shares of the Company, while Vetrai28 and Mr. Iacopo Barovier remain invested, although with a reduced participation. Iacopo Barovier has been confirmed as President and Chief Executive Officer, hence safeguarding the Company’s historic traditions and ensuring management continuity.

Barovier&Toso, historic Murano glass manufacturer established in 1295, is one of the 10 oldest companies in the world. The Company manufactures lighting systems in artistic glasswork and is one of the most prestigious brands in its sector.

GOLDEN GOOSE

Ergon Capital Partners III has acquired the majority of Golden Goose Deluxe Brand from a group of financial investors comprising DGPA and Riello Investimenti, alongside the Company’s founders Alessandro Gallo and Francesca Rinaldo. The Company will continue to be managed by Mrs. Roberta Benaglia as CEO in cooperation with the two founders, who will remain key investors in the Company, as co-heads of the style and creative department. The transaction entails also a minority participation by Zignago Holding as co-investor alongside Ergon, the founders and management.

GERVASONI

Private Equity Partners, Permira’s Paolo Colonna and a group of private investors have acquired Gervasoni, an Italian furniture designer and manufacturer, from its family owners. The acquisition will see the creation of Milan-based holding company Italian Design Brands (IDB), which will be the platform for a buy-and-build strategy. Gervasoni’s owners, Giovanni and Michele Gervasoni, retain a minority stake in IDB as part of the deal and managerial responsibilities within the Holding Company.

Founded in 1882 and headquartered in Udine, Italy, Gervasoni designs and produces furniture for the residential and hospitality sectors. It operates under the Gervasoni, Very Wood and Letti&Co brands.

Tengram Capital Partners has acquired the majority of Luciano Barbera from the founding family.

Pietro S.r.l. (formerly Boccassini Pietro S.r.l.) sold the business unit for the production of standard and special custom made taps, dies and thread milling cutters to Boccassini S.r.l. (formerly Blue Tide S.r.l).

Giuseppe Zanotti

L Capital Europe and L Capital Asia acquired a 30% stake in Vicini, owner of the Giuseppe Zanotti Design and Vicini brands.

The Company manufactures and distributes high-end fashion shoes globally through mono and multi-brand stores. Popular among celebrities and fashionistas, Giuseppe Zanotti Design has positioned itself as one of the top brands in the global luxury shoe market. Transcending its origins as a women-focused brand, the Company recently launched a men’s division specialising in both casual and formal shoes.

Dedalus

Hutton Collins Partners has invested €50 million in Dedalus through a subordinated loan and a minority equity interest. The deal with Hutton Collins will involve the purchase of stakes from outgoing equity investors, as well as financial support for an international expansion plan.

Since the late 90s, the Company has obtained important certifications that attest the use of biodegradable and compostable materials. The products are designed to reduce the waste of raw materials, using recycled materials and minimizing secondary packaging, characteristics that allowed the Company to obtain the “Legambiente” brand from the association of environmental interest which is acknowledged by the Ministry of the Environment.
